Ms. Hannan has practiced telecommunications law for more than a decade, both in private practice and as in-house Deputy General Counsel of an integrated provider of local, long distance, internet and other advanced services.  Ms. Hannan has represented a nationwide clientele ranging from start-up ventures, Fortune 100 Companies and a major telecommunications trade association, providing corporate and transactional representation, appellate representation and litigation support, and oral and written advocacy before federal and state regulatory agencies including the United States Department of Justice, Department of Commerce and Federal Communications Commission.  In addition to encompassing multiple aspects of telecommunications representation, the broad scope of Ms. Hannan’s legal experience also includes significant contract negotiation and M&A activities, employment law and general HR representation.

  • Telecommunications Transactional Activities:  Ms. Hannan has engaged, both in-house and on behalf of private clients, in corporate mergers and acquisitions; venture formations, including general and limited partnerships, corporations and limited liability companies; asset acquisitions and sales, including intellectual property and capital equipment; agency, licensing and leasing arrangements; security and other financing arrangements; transactions in bankruptcy, emphasizing asset acquisition; nondisclosure agreements; and employment and other personnel agreements.  Ms. Hannan has also participated in the drafting of telecommunications-specific portions of Registration Statements and Private Placement Memoranda.

  • Regulatory Compliance:  Ms. Hannan has drafted and prosecuted applications for certificates of public convenience and necessity to provide local exchange and intrastate, interexchange telecommunications services before state public utility commissions throughout the contiguous United States as well as applications for international and domestic authority to transfer control of certificated entities and applications for approval of mergers before various state public service commissions and the Federal Communications Commission.  Ms. Hannan has also drafted and prosecuted applications for authority to issue debt instruments before various state public service commissions, federal domestic telecommunications services tariffs, international telecommunications services tariffs and access services tariffs and state local, long distance and access services tariffs. 

  • Public Policy Advocacy:  Ms. Hannan has engaged in oral advocacy of client positions before the Commissioners of the Federal Communications Commission and their Staffs, the Staffs of the FCC’s Wireline Competition and Enforcement Bureaus, and the Commissioners, Telecommunications Senior Staff and Administrative Law Judges of various state public service commissions.  Ms. Hannan has also undertaken extensive written advocacy of client positions in numerous Federal Communications Commission policy proceedings since the passage of the Telecommunications Act of 1996, authoring over 100 policy pieces, including comments, reply comments and/or oppositions in docketed and other proceedings, petitions for rulemaking, petitions for reconsideration, and responses to Notices of Apparent Liability.

  • Litigation:   Ms. Hannan has co-authored briefs and reply briefs in appeals on behalf of a major telecommunications trade association before the United States Court of Appeals for the District of Columbia and has contributed to briefs in multiple appeals before the United States Supreme Court and the United States Courts of Appeals for the District of Columbia, Third, Fifth, Sixth, Eighth and Tenth Circuits.  Ms. Hannan has also engaged in motions practice and provided strategic litigation support on behalf of clients in cases before Federal District Courts and has represented clients before the Federal Communications Commission and state public service commissions in formal and informal enforcement investigations.

Ms. Hannan is a graduate with honors of the University of Baltimore School of Law and is admitted to practice in the State of Maryland and the District of Columbia.  Ms. Hannan is also a member of the bar of the United States Supreme Court and the United States Courts of Appeals for the District of Columbia, Third, Fifth, Sixth, Eighth and Tenth Circuits.
